1. Acceptance
This Affiliate Program Agreement ("Agreement") is a legally binding contract between you ("Affiliate", "you", "your") and Aldera Bio Labs ("Aldera Bio Labs", "we", "us","our"). By submitting an affiliate application, clicking any "I agree" confirmation, or participating in the affiliate program in any way, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our general Terms of Service, which are incorporated by reference. If you do not agree, do not apply or participate.
2. Eligibility
To participate in the affiliate program you must:
- Be at least 21 years of age.
- Have a valid PayPal, Venmo, or U.S. bank account for commission receipt.
- Agree that you will not promote our products using medical claims, human-use claims, or to audiences under 21.
- Not be a direct competitor, reseller, or distributor of research chemicals without our prior written consent.
- Comply with all applicable laws governing advertising, endorsements, and affiliate marketing (including FTC Endorsement Guidelines, CAN-SPAM, and applicable state laws).
- Not be located in a jurisdiction where participation in such a program is prohibited.
We reserve the right to deny or revoke affiliate status to any person or entity at any time for any reason.
3. Enrollment & Approval
Applications are reviewed at our sole discretion, typically within 2 business days. Approval is not guaranteed. Upon approval, you will receive by email:
- A unique affiliate discount code linked to your account.
- A tracking link (optional, where supported).
- Access credentials to your affiliate dashboard at /account/affiliate.
You are responsible for keeping your contact information, payment details, and platform information current in your dashboard. Incorrect payment details that result in failed payouts are your responsibility.
4. Tracking & Attribution
4.1 Discount Code Tracking
Each affiliate receives a unique discount code. Commission is earned on every order placed on alderabiolabs.com where your discount code is applied at checkout. There is no expiry on your code. Any order using your code earns full commission regardless of when it occurs.
4.2 Qualified Orders
A "Qualified Order" is an order that (a) uses your affiliate code, (b) is successfully completed and not cancelled, refunded, or charged back, (c) is placed by a customer who is not an existing customer of yours in a fraud scheme, and (d) complies with all promotional restrictions in Section 7.
4.3 Exclusions
Commission is not earned on: orders you place yourself, orders placed by immediate family members, orders later cancelled or refunded, orders identified as fraudulent, or orders that violate this Agreement.
4.4 Tracking Disputes
Our tracking records are the definitive record of commission attribution. You agree to raise any tracking discrepancy within 60 days of the end of the month in which the order was placed. Disputes raised after this window will not be honored.
5. Commission Structure
Commission is calculated as a percentage of the net order value (after any discounts, excluding taxes and shipping) of each Qualified Order.

Tier is calculated based on total Qualified Order value in a calendar month. Tier upgrades apply automatically from the first Qualified Order in the month in which the threshold is crossed. Tier downgrades take effect on the first day of the following month if the prior month's volume falls below the threshold.
We reserve the right to modify commission rates with 30 days' written notice to the email on file. Continued participation after the notice period constitutes acceptance of the new rates.
6. Payouts
6.1 Schedule
Commissions for Qualified Orders placed in a calendar month are paid on or around the 1st of the following month. For example, commissions on orders placed in April are paid on or around May 1st.
6.2 Minimum Payout
The minimum payout threshold is $50.00. Balances below $50 roll over to the following month until the threshold is met.
6.3 Payment Methods
Commissions are paid via PayPal, Venmo, or ACH bank transfer (U.S. accounts only). You must provide valid payment details in your dashboard. We are not responsible for lost or delayed payments caused by incorrect information.
6.4 Chargebacks & Clawbacks
If an order on which commission has been paid is subsequently refunded, cancelled, or charged back, we reserve the right to deduct the corresponding commission from your next payout. If your account balance is insufficient, we may invoice you for the difference.
6.5 Taxes
You are solely responsible for all taxes on commissions you receive. We will issue a Form 1099-NEC to U.S.-based affiliates who earn $600 or more in a calendar year. You agree to provide a valid W-9 upon request.
7. Permitted Promotion
You may promote the affiliate program and our products in the following ways:
- Organic social media posts (Instagram, TikTok, YouTube, X/Twitter, Facebook, Reddit, forums).
- Personal blogs, websites, newsletters, and podcasts where you own or control the content.
- Direct messaging to individuals who have consented to receive promotional communications.
- Educational or informational research content that does not make prohibited claims.
All promotional content must include a clear and conspicuous disclosure of your affiliate relationship with Aldera Bio Labs in compliance with FTC guidelines (e.g., "#ad", "#affiliate", "#sponsored", or "I earn a commission on orders using my code").
8. Prohibited Conduct
You agree that you will not:
- Run paid search (PPC) ads — on Google, Bing, Meta, or any other platform — that target our brand name, domain, or branded keywords ("Aldera Bio Labs", "AlderaBioLabs", etc.).
- Make any therapeutic, medical, clinical, or human-use claim about any product we sell, in any medium.
- Promote to audiences known or reasonably believed to be under 21 years of age.
- Create websites, landing pages, or social profiles that impersonate or are designed to be confused with Aldera Bio Labs.
- Self-refer: place orders using your own affiliate code, directly or indirectly.
- Use spam, cold email, SMS blasts, or unsolicited messaging of any kind.
- Offer unauthorized cashback, rebates, or incentives for using your code beyond the standard customer discount.
- Misrepresent the products, pricing, shipping times, or your relationship with Aldera Bio Labs.
- Distribute our products, repackage them, or act as a reseller or intermediary.
- Violate any applicable law, platform terms of service, or our Acceptable Use Policy.
Violation of any prohibited conduct rule is grounds for immediate termination without notice and forfeiture of all unpaid commissions.
9. Brand License
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Aldera Bio Labs name, logo, and approved promotional materials solely for the purpose of promoting the affiliate program in accordance with this Agreement. You may not alter, crop, modify, or create derivative works from any Aldera Bio Labs logo or brand asset without our prior written consent. This license terminates immediately upon termination of your affiliate status.
10. Intellectual Property
All content, materials, trademarks, logos, and intellectual property on alderabiolabs.com remain the exclusive property of Aldera Bio Labs. Nothing in this Agreement transfers any ownership right to you. You retain ownership of original content you create, but by creating content that references Aldera Bio Labs you grant us a royalty-free license to share and repost that content with attribution.
11. Confidentiality
You agree to keep confidential any non-public information shared with you during your participation, including commission rates above the published tier structure, product roadmaps, pricing strategies, or operational details. This obligation survives termination of your affiliate status.
12. Termination
12.1 Termination by you
You may terminate your affiliate status at any time by emailing Support@alderabiolabs.com requesting removal. Any earned, unpaid commissions above the minimum payout threshold at the time of termination will be paid in the next scheduled payout cycle.
12.2 Termination by us
We may terminate your affiliate status at any time, with or without cause, and with or without notice. Termination for cause (including violation of Section 8 — Prohibited Conduct) results in immediate forfeiture of all unpaid commissions. Termination without cause results in payment of earned commissions above the minimum threshold in the next scheduled payout.
12.3 Effect of termination
Upon termination, your affiliate code will be deactivated. Any orders placed using your code after deactivation will not earn commission. Sections 10, 11, 13, 14, 15, and 17 survive termination.
13. Disclaimer of Warranties
The affiliate program is provided "as is." We make no warranties, express or implied, regarding earnings potential, conversion rates, uptime of tracking systems, or the continuity of the program. We may discontinue or modify the program at any time.
14. Limitation of Liability
To the fullest extent permitted by applicable law, Aldera Bio Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the affiliate program, including loss of profits or missed commission opportunities. Our total aggregate liability is limited to the commissions we owe you in the 60 days preceding the event giving rise to the claim.
15. Indemnification
You agree to defend, indemnify, and hold harmless Aldera Bio Labs and its officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your: (a) breach of this Agreement; (b) violation of any law; (c) promotional content you create; (d) misrepresentation of products or claims; or (e) violation of any third-party right.
16. Relationship of Parties
You are an independent contractor. Nothing in this Agreement creates any employment, partnership, joint venture, agency, or franchise relationship between you and Aldera Bio Labs. You have no authority to bind us to any contract or obligation.
17. Governing Law
This Agreement is governed by the laws of the United States, without regard to conflict-of-law principles. Disputes arising from this Agreement are subject to the arbitration and class action waiver provisions in Section 19 of our Terms of Service.
18. Modifications
We may modify this Agreement at any time. We will post the updated Agreement at /affiliate/terms with a new "Last updated" date and notify active affiliates by email with at least 30 days' notice for material changes. Continued participation after the notice period constitutes acceptance of the updated terms.
19. Miscellaneous
This Agreement, together with our Terms of Service, constitutes the entire agreement between you and us regarding the affiliate program and supersedes all prior discussions. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver. You may not assign this Agreement without our prior written consent. We may assign it freely.
